5.1 Pricing: All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change with 30 days' notice.

5.2 Payment Schedule: Payment terms will be specified in individual service agreements. Standard terms require 50% advance payment and 50% upon project completion unless otherwise agreed.

5.3 Late Payments: Late payments may incur interest charges of 2% per month or the maximum rate permitted by law, whichever is lower.

5.4 Taxes: All prices are exclusive of applicable taxes (GST, service tax, etc.) unless explicitly stated otherwise.

6. Warranties and Disclaimers

6.1 Service Warranty: We warrant that Services will be performed with reasonable skill and care in accordance with industry standards.

6.2 Product Warranty: Hardware and software products are covered by manufacturer warranties as specified in product documentation.

7. Limitation of Liability

To the maximum extent permitted by law:

7.1 BNK Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

7.2 Our total liability for any claim arising from Services shall not exceed the amount paid by the Client for the specific Service giving rise to the claim in the preceding 12 months.

7.3 These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

8. Intellectual Property Rights

8.1 Our IP: All intellectual property rights in our Services, website, documentation, and proprietary materials remain the exclusive property of BNK Technologies.

8.2 Client IP: Clients retain ownership of their pre-existing intellectual property. We may use Client data only as necessary to provide Services.

8.3 Third-Party IP: Third-party software and products are licensed subject to the applicable vendor's license terms.

9. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.

Confidential information does not include information that:

• Is publicly available through no breach of this agreement
• Was rightfully possessed prior to disclosure
• Is independently developed without access to confidential information
• Is required to be disclosed by law or court order

10. Termination

10.1 By Client: Clients may terminate Services with 30 days' written notice. Early termination may result in cancellation fees as specified in service agreements.

10.2 By BNK Technologies: We may terminate Services immediately if Client breaches these Terms or fails to make payments when due.

10.3 Effect of Termination: Upon termination, Client must pay all outstanding fees, return any Company property, and cease using our Services.

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date.

Continued use of Services after changes constitutes acceptance of the modified Terms.
